These terms and conditions (Terms of Use) govern your use of Crotle through our website www.crotle.com and our application for mobile and handheld devices (together Crotle). Crotle is operated and owned by Crotle Tech Private Limited (Company), a private limited company incorporated under the Companies Act, 1956/2013 and having its registered office at Nage Cottage, Circular Road, Dimapur – 797112, Nagaland.

    Please read these terms of Use carefully before creating (Sign up) your account in Crotle. If you do not agree to the Terms of Use, you are requested not to create your account. By virtue of creating your account in Crotle, it is confirmed that you indicate your acceptance of the Terms of Use (and its amendments) and agree to be bound by them for as long as you are using or accessing or using our service.

    The terms "user", "you" hereunder refer to the person visiting, accessing, browsing through and/or using Crotle at any point in time and in the case of an organisation/enterprise that avails our service, these terms mean the entity you represent. If you are accepting on behalf of your organisation, you hereby agree and undertake that you have the full authority to bind your organisation to these Terms of Use.

  1. SERVICES OVERVIEW
  2. The Company offers a SaaS based task management tool. It enables organisations/groups to collaborate their teamwork in an organised environment. Our features include Notes, Schedule Notes, Departments, Members, Projects, Tasks, Document Library, Archive, Employee Performance Review (EPR) and Personal Projects.

    • Notes allow user to create a list of thoughts that could later be converted into tasks and assigned to team members. Schedules notes are upcoming task of recurring nature, and would pop up on the notes list on the scheduled designated dates.
    • Departments and Members: Members are the user associated within an account. Department is a cluster of members with similar work profile and their collective task are bundled together into department responsibilities.
    • Document Library: This section of Crotle is a repository of files stored by members in their individual folders. The members can share access of their repository with other members from time to time in order to get collective goals achieved.
    • EPR is a review mechanism for assessing the performance of subordinates on regular interval of time. Continuous review mechanism helps in building a better training process in the organisation and also facilitates organisation in undertaking a fair and transparent appraisal of its teams.

    Crotle can be used by an individual, organisation or a team working together to accomplish a goal.

    You are responsible for understanding the settings and controls of Crotle and if you are signing up to these terms on behalf of your organisation, you are responsible for controlling whom you allow to become an end user and for their interaction on and use of Crotle.

    Initially, our services will be provided free of cost and on a trial basis for a period of 1 year. Upon completion of the trial period, you would be asked to pay per user/per month, an amount of INR 300/. The pricing may change from time to time and the same shall be communicated at least three month prior to its application.

  3. ELIGIBILITY
  4. Crotle is available only to persons who can form legally binding contracts under the Indian Contract Act, 1872. The Company reserves the right to cancel or refuse your registration and / or refuse to provide you with access to Crotle if it is brought to Company’s notice or if it is discovered that you cannot form legally binding contracts.

  5. REGISTRATION
  6. You can access all the features on Crotle by registering yourself as a client (Client). If you are availing our services for your organisation, your account must be created by the organisation owner of the team leader/manager who will operate the account as an administrator. Please note that the creator of this account is expected to be a permanent member of the team and the rest of the members may change from time to time. Please keep your account and registration details updated so that we can process your requests without any delay or inaccuracy.

    As part of the registration process on Crotle, the Company may collect certain personal information about you. Information collected about you for registration or in order to provide you our services is subject to the Privacy Policy of the Company, which is available at www.crotle.com You have the option not to provide this information, however, should you do so, you may not be able to access our full range of services and all the features of Crotle.

    You may not transfer your username or Account to any other person or rent, lease, distribute, sell, sublicense or provide access to Crotle to a party, use Crotle for the benefit of any third party or incorporate Crotle into a product or service you provide to a third party.

  7. LICENSE AND ACCESS
  8. By accessing Crotle, you agree that you will not scrape or attempt to scrape or extract any data, including information provided by third parties or other users Crotle. You also agree that you shall not use Crotle for any monitoring, benchmarking or throttling or any other purposes that may impair its performance or functionality. You agree not to access or attempt to access any content available on Crotle by any means other than through the interface that is provided by Crotle.

    You agree that while using Crotle, you shall not post, upload, publish, transmit or share any material or information that: (a) belongs to another person and to which you do not have any right to; (b) is grossly harmful, harassing, blasphemous defamatory, obscene, pornographic, paedophilic, libellous, invasive of another's privacy, hateful, or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful in any manner whatever; c) harms minors in any way; d) infringes any patent, trademark, copyright or other proprietary rights; e) violates any law for the time being in force; f) deceives or misleads the addressee about the origin of such messages or communicates any information which is grossly offensive or menacing in nature; g) impersonate another person; h) contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource; (i) threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states, or public order or causes incitement to the commission of any cognizable offence or prevents investigation of any offence or is insulting any other nation. Any violation of this clause may lead to suspension or termination of your account. In the event, the Company receives any complaint that any information posted by you amounts to a breach of this clause, the Company will take such steps necessary as required under law to remove or disable access to such information and may suspend or terminate your account at its sole discretion.

  9. ACCOUNT SECURITY
  10. You are responsible for all activities and transmissions through your Account/username. You are solely responsible for maintaining the security and confidentiality of the username and password required to access Crotle. You must immediately us of any unauthorised use of your username or password or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with this provision.

  11. DISRUPTION
  12. We make no guarantee as to the availability, quality or service levels of the services available on Crotle on a 24x7 basis or promise uninterrupted access to Crotle. However, disruption of services may arise due to technical or operational difficulties, and no prior notice of downtime will be given to you in such circumstance. We may also suspend the access to Crotle for specific users permanently or temporarily for any reason whatsoever, including while investigating complaints or alleged violations of these Terms of Use or the Privacy Policy, or disable access to Crotle for such user.

  13. OTHER TERMS AND CONDITIONS
    • You will use Crotle for lawful purposes only and comply with all applicable laws and regulations while using Crotle.
    • You will provide authentic and true information in all instances where any information is requested of you.
    • If at any time, the information provided by you is found to be false or inaccurate (wholly or partly), the Company shall have the right in its sole discretion to reject your registration, and debar you from accessing Crotle in the future without any prior intimation whatsoever, and without any liability to you.
    • You are accessing Crotle at your sole risk.
  14. INTELLECTUAL PROPERTY RIGHTS
  15. Crotle contains copyrighted material, trademarks, and other proprietary information owned by the Company or its licensors. Except for that information which is in the public domain or for which you have been given permission, you agree not to copy, modify, publish, transmit, distribute, perform, display, or sell any such proprietary information. Access to or use of Crotle does not confer and should not be considered as conferring upon anyone any license to the Company or any third party’s intellectual property rights. Any use of Crotle or its contents without the permission of the Company is prohibited.

    You also agree and undertake that you will not (a) interfere with or otherwise circumvent mechanisms in Crotle or any of its features; (b) reverse engineer, disassemble, decompile, translate or otherwise seek to obtain or derive the source code, algorithms, file formats or specifications to Crotle or any of its features; (c) remove or tamper with any proprietary or other notices contained in Crotle; or (d) encourage or assist any third party to do any of the foregoing.

    The following trade names/ trademarks indicated on Crotle are trade names / trademarks of the Company. These trademarks and trade names may not be used in connection with any product or service that is not ours in any manner that is likely to cause confusion among customers or in any manner that disparages or discredits the Company or our services.

  16. THIRD PARTY USE
  17. We do not guarantee that other users of Crotle will comply with these Terms of Use. You hereby assume all risk of any harm or injury which may result to you on account of such non-compliance by third party users. The Company shall not be held responsible for any such harm or injury resulting from third party use. You hereby agree to use Crotle at your sole risk and judgment and acknowledge that the Company shall not be responsible for any content that may be deemed offensive, indecent, or objectionable to you.

    The Company does not guarantee the content of any third party sites and do not make any representations regarding the content or accuracy of material on such sites. If you access a link of any third-party website, you hereby acknowledge that you do so entirely at your own risk and expense.

  18. THIRD PARTY DISPUTES
  19. Any dispute between you and any other third party arising out of the use of Crotle shall not be the responsibility or liability of the Company. We shall not be held liable for any negligent conduct or behaviour, whether actions or omissions, of any third party in relation to the use of Crotle. We encourage you to report any complaints by contacting the Grievance Officer, and we will take appropriate action as soon as reasonably possible.

  20. INDEMNITY
  21. You hereby agree to keep and hold the Company, its parents, subsidiaries directors, officers, employees and agents, fully indemnified and harmless from and against all claims, proceedings, penalties, damages, losses, actions, costs and expenses arising out of or in relation to the use of Crotle by you or the your breach of these Terms of Use or violation of any law, rules or regulations or the rights of a third party or any breach of your representations and warranties set forth above and/or any fraudulent act on your part. The Company’s right to be indemnified shall survive the expiry or termination of these Terms of Use.

  22. LIMITATION OF LIABILITY
  23. Company disclaims any liability as to the accuracy, completeness, reliability, fitness, availability or relevance of any information. You hereby acknowledge and agree that in no event will the Company be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, reputation, goodwill, business opportunities, data or other intangible losses or be liable for any loss or damages of any kind whatsoever arising out of the use of or inability to use Crotle, however arising whether by tort or by contract, including without limitation, damages for loss or corruption of data or programs and service interruptions, even if the Company knows or has been advised of the possibility of such damages. The Company hereby also disclaims any and all liability for the acts, omissions and conduct of any third parties in connection with or related to the use of Crotle.

  24. DISCLAIMER
  25. THE COMPANY PROVIDES THE SERVICES ON AN "AS IS" BASIS AND GRANTS NO WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE WITH RESPECT TO CROTLE OR ANY SERVICES. THE COMPANY SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. YOU EXPRESSLY AGREE THAT THE USE OF CROTLE AND REQUEST FOR ANY SERVICES IS AT YOUR OWN RISK.

  26. TERMINATION
  27. Any violation or breach of the Terms of Use may lead to automatic suspension or termination of your account or access to Crotle by the Company.

  28. GOVERNING LAW & DISPUTE RESOLUTION
  29. These Terms of Use shall be governed by the laws of India and any disputes or proceedings arising hereunder shall be subject to the jurisdiction of the courts in Delhi. All disputes arising out of or in connection with these Terms of Use, including any question regarding its existence, validly or termination, shall be referred to and finally resolved by arbitration by a single arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be at [Delhi].
